Please read these Terms and Conditions carefully before using our service. Your access to and use of the service is conditioned on your acceptance of and compliance with these Terms.

By accessing or using the service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the service.


Terms and Conditions for Najuwa AI

Welcome to Najuwa AI, a WhatsApp marketing and automation platform operated by Isystems Limited ("we," "us," or "our"). By accessing or using our platform at najuwa.africa (the "Platform"), you ("User," "you," or "Tenant") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you must not use the Platform.

1. Acceptance of Terms

By registering, accessing, or using the Platform, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy. These Terms apply to all users, including Superadmins, Tenants, and their authorized users. We reserve the right to update these Terms at any time, with notice provided via the Platform or email. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

2. Description of Services

Najuwa AI provides a multi-tenant Software-as-a-Service (SaaS) platform for WhatsApp marketing and automation. Features include:

  1. Management of WhatsApp Business Accounts (WABAs) for multiple tenants.
  2. Creation, management, and sending of WhatsApp message templates.
  3. Automation of campaigns, chats, and analytics.
  4. Integration with Meta’s WhatsApp Business API and other third-party services.

We may modify, suspend, or discontinue any part of the Platform at our discretion, with or without notice, subject to applicable law.

3. Eligibility

To use the Platform, you must:

  1. Be at least 18 years old or have legal authority to enter into these Terms.
  2. Have a valid WhatsApp Business Account (WABA) linked to a Meta Business Manager account.
  3. Comply with all applicable laws, including those related to data protection and electronic communications.
  4. Businesses, organizations, or individuals using the Platform on behalf of tenants must ensure their authorized users comply with these Terms.

4. Account Registration and Responsibilities

4.1 Registration

To access the Platform, you must create an account by providing accurate and complete information, including a valid email address, phone number, and business details. Each Tenant operates within a dedicated workspace, and Superadmins manage multiple Tenant accounts.

4.2 Account Security

You are responsible for:

  1. Maintaining the confidentiality of your account credentials.
  2. All activities conducted under your account, including by authorized users.
  3. Notifying us immediately of any unauthorized access or security breaches at support@najuwa.africa.

4.3 Tenant Responsibilities

Tenants must:

  1. Ensure their WABAs and templates comply with Meta’s WhatsApp Business Policies.
  2. Provide accurate WABA and template information for integration with the Platform.
  3. Avoid using the Platform for unlawful or prohibited activities, including spamming or sending unsolicited messages.

5. Usage Guidelines

5.1 Permitted Use

You may use the Platform to:

  1. Manage WABAs and templates for WhatsApp marketing and automation.
  2. Send approved WhatsApp messages in compliance with Meta’s policies.
  3. Access analytics and campaign tools provided by the Platform.

5.2 Prohibited Use

You must not:

  1. Use the Platform for illegal activities, including fraud, harassment, or sending unlawful content.
  2. Attempt to reverse-engineer, hack, or disrupt the Platform’s functionality.
  3. Overload the Platform’s servers or APIs, including exceeding rate limits set by us or Meta.
  4. Share access to the Platform with unauthorized third parties.

6. Payment and Subscription

6.1 Subscription Plans

The Platform operates on a subscription model. Pricing and features for each plan are outlined on the Platform’s pricing page. You agree to pay all applicable fees for your chosen plan.

6.2 Billing

  1. Payments are processed through secure third-party payment processors (e.g., Stripe, PayPal).
  2. Subscription fees are billed in advance (monthly or annually, based on your plan).
  3. All fees are non-refundable, except as required by law or specified in our refund policy.

6.3 Payment Issues

Failure to pay fees may result in suspension or termination of your account. We may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law.

6.4 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Changes take effect in the next billing cycle, with no prorated refunds for downgrades.

7. Intellectual Property

7.1 Platform Ownership

All content, code, and features of the Platform, including its design, software, and documentation, are owned by Isystems Limited or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you upload or create on the Platform (e.g., templates, campaign data). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process this content to provide and improve the Platform’s services.

8. Third-Party Integrations

The Platform integrates with third-party services, such as Meta’s WhatsApp Business API. You are responsible for:

  1. Complying with the terms and policies of third-party services.
  2. Ensuring your WABA and templates meet Meta’s requirements.
  3. We are not liable for issues arising from third-party services, including API outages or template rejections.

9. Termination

9.1 By You

You may terminate your account by contacting support@najuwa.africa or through the Platform’s account settings. No refunds will be provided for unused portions of your subscription.

9.2 By Us

We may suspend or terminate your account if you:

  1. Violate these Terms or Meta’s policies.
  2. Fail to pay applicable fees.
  3. Engage in activities that harm the Platform or its users.
  4. Upon termination, your access to the Platform will cease, and we may delete your data, subject to applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, Isystems Limited and its affiliates are not liable for:

  1. Indirect, incidental, or consequential damages arising from your use of the Platform.
  2. Losses due to third-party service outages, including Meta’s WhatsApp Business API.
  3. Any damages exceeding the amount paid by you in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Isystems Limited, its affiliates, and employees from any claims, damages, or liabilities arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Rwanda. Any disputes will be resolved through binding arbitration in Rwanda.

13. Miscellaneous

  1. Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Isystems Limited.
  2. Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect.
  3. Assignment: You may not assign these Terms without our consent. We may assign these Terms to a successor in connection with a merger or sale.
